General Terms and Conditions of Sale

These General Terms and Conditions of Sale govern the contractual relationship between the Plaerus network (hereinafter "Plaerus", "the Network" or "the Publisher") and any natural or legal person (hereinafter "the Advertiser") wishing to broadcast an advertisement on the network's partner platforms via the centralizing site Plaerus.com.

Important — Services reserved for professionalsThe distribution services offered by Plaerus are exclusively intended for professionals (legal or natural persons acting within the framework of their commercial, artisanal or liberal activity). By using our services, you declare that you are acting for professional purposes. These Terms are governed by commercial law.

1. Definitions and Prerequisites

Definitions

  • Plaerus.com : Central management tool allowing the submission, verification and billing of advertisements intended to be broadcast on a network of thematic platforms.
  • Partner Network : All websites and directories published by or partners of Plaerus.
  • Advertiser : Duly authorized professional offering a good, a service or promoting an establishment.
  • User : Visitor to the partner network interested in the Advertiser's offers.

Legal Prerequisites

The Advertiser certifies on their honor that they are in strict compliance with the regulations applicable to their sector of activity, hold all authorizations, licenses or insurance necessary to offer the goods or services described in their advertisement, and are up to date with their legal and tax obligations.

2. Validation and Distribution Process

2.1 Submission and Selection of Platforms

The submission of an advertisement is carried out exclusively on the Plaerus.com site according to the following process:

  1. Submission of the ad : The Advertiser creates their account and submits the characteristics of their offer or establishment on Plaerus.com.
  2. Verification and Targeting : The Publisher verifies the compliance of the ad. Plaerus then unilaterally and exclusively selects the network platforms on which the ad will be broadcast.
  3. Publisher's Discretion : The exact number and choice of selected platforms depend directly on the specificities of the offer (business sector, type of service, location). Plaerus reserves the absolute right of this selection to guarantee the relevance of the targeting, without having to justify its choice to the Advertiser. The selected platforms are displayed in the customer area before payment.
  4. Billing : Once the selection is made, a secure payment link is sent to the Advertiser.
  5. Distribution : Distribution on the selected network is activated consecutively upon receipt of payment.

2.2 Authorization for distribution

The Advertiser grants Plaerus a non-exclusive right to use, reproduce and broadcast the elements provided (photos, texts, logos, videos) across the selected partner network for the promotion of their activity.

2.3 Responsibility for content

The Advertiser guarantees:

  • That they hold all intellectual property rights over the content provided (in particular photographs and graphic elements).
  • The accuracy, truthfulness and updating of the information presented (prices, descriptions, conditions of sale).

3. Management of Contacts and Sales (Zero Commission)

Plaerus acts exclusively as an intermediary for connections and advertising visibility. The Network takes no commission on transactions, sales or contracts generated via its platforms. The Advertiser manages directly and under their sole responsibility:

  • Commercial relationship with prospects and Users.
  • Billing and direct collection of payments.
  • Delivery of goods or proper execution of services.
  • Any potential after-sales service.

4. Financial Terms

4.1 Pricing

Subscription rates (First ad at €99/year, Additional ad at €49/year) are valid for distribution on the network selected by Plaerus during validation.

4.2 Payment and Billing

Payment is made by credit card via the secure Stripe portal. Although the publishing company of Plaerus is registered and based in Thailand, transactions are denominated in Euros (€).

4.3 International Bank Fees

The Advertiser is informed that, due to the location of the head office outside the European Union (Thailand), their bank may apply international transaction or conversion fees. These fees remain the exclusive responsibility of the Advertiser.

5. Duration, Termination and Refund

5.1 Contract Duration and Renewal

The contract is concluded for a duration of one (1) year and is automatically renewed at each maturity for an identical period.

5.2 Termination

The Advertiser may oppose renewal or terminate their subscription at any time. The management of subscriptions and invoices is carried out autonomously directly from the secure Stripe portal linked to Plaerus (accessible via payment confirmation emails and the customer area). Termination will be effective at the end of the current billing period.

5.3 Right of refusal, deletion and Refund

Plaerus reserves the right to refuse any advertisement that does not comply with the network's editorial line, is illegal, or presents elements of insufficient quality. In the event of an initial refusal, no payment is required or the Advertiser is fully refunded. In the event of deletion for Advertiser fault during the year (misleading information, dubious commercial practices, non-compliance with local rules), no refund will be due.

5.4 Right of withdrawal

In accordance with electronic commerce practices between professionals (B2B), the Advertiser does not have a right of withdrawal once the payment has been made and the online service executed.

6. Data Protection (GDPR)

The professional data collected is necessary for the management of the ad, the customer account and billing. The Advertiser has a right to access, rectify and delete their data by contacting Plaerus support electronically.

7. Liability and Force Majeure

Plaerus cannot be held responsible for commercial disputes arising between the Advertiser and its customers, nor for any temporary interruption of the network's sites for technical maintenance. The liability of Plaerus cannot be incurred in the event of non-execution of the contract due to a case of force majeure.

8. Applicable Law and Jurisdiction

These General Terms and Conditions are subject exclusively to Thai law. In the event of a dispute relating to the interpretation, execution or termination of the contract, and failing an amicable agreement between the parties within thirty (30) days, the courts of Thailand shall have exclusive jurisdiction, notwithstanding multiple defendants or third-party claims.
